Name and Area Represented


  • The Association shall be known as the Shad Thames Residents’ Association and comprise the Shad Thames Core Group (which will carry out the business of the association) and the Shad Thames Network (which includes all interested residents in the Shad Thames area).
  • The Core Group represents the interests of residents in the area bordered by The River Thames, London Bridge, the north side of Tooley Street, and Mill Street.
  • This Constitution will be placed on the Association’s www.ShadThames.ORG website, but is available in paper copy from the Secretary

Objectives


  • To represent the interests of residents to the local authority and other bodies
  • To monitor applications which are made to Southwark Council in areas such as planning, licensing, filming, entertainment or any other activities which impact on residents, and make representations in their interests
  • To monitor the environment, streetscape and traffic patterns in co-operation with Southwark Council and other bodies, and make representations in the interests of residents
  • To co-operate with other local bodies in making known and upholding the Code of Conduct for the Shad Thames area

Conduct of Business


  • The business of the Association will be conducted by a core group of not less than six members. No more than one core group member may be from the same household
  • The core group will elect a Chairman, Vice-Chairman, Treasurer, and Secretary at the first core group meeting following an Annual General Meeting

Duties of Officers


  • The Chairman will conduct core group meetings and meetings of the Association
  • The Vice-Chairman will deputise for the Chairman
  • The Treasurer will keep proper accounts of income and expenditure and report on them as required by the core group or a General Meeting.
  • The Secretary will be responsible for the convening of meetings and the giving of the prescribed notice to residents. The Secretary will ensure that a proper record is kept of all meetings of the Association in the form of minutes.  
  • Any core group member delegated to represent the Association in any consultation with any other body will act on only in the interests of local residents and upon the instructions of the Association and will report back to the core group meeting or to a General Meeting

The Core Group


  • The core group will meet as necessary, but not less than eight times in each year. Meeting dates will be displayed on the Association’s website. Members of the Core Group will be expected to take an active part in the work of the Association, e.g. attend Core Group meetings regularly; participate in preparing written representations on behalf of the Association; attend meetings of other bodies/organizations as required from time-to-time; etc.

 

The Network


  • All local residents are invited to join the Shad Thames Network by registering their email address with the Core Group. The Network will be alerted to activities in the area, such as lodging objections to planning or licensing applications

Public Meetings


  • In addition to an Annual General Meeting the Association will also hold several General Meetings which will also be open to all local residents.

Annual General Meetings


  • The core group will call an Annual General Meeting each year.   Not less than fourteen days notice of the Annual General Meeting will be given by posting notices at key locations in the area, by email to the Shad Thames network and by posting advice on the Association’s website. At the Annual General Meeting:
    • The Chairman will present an annual report of the activities of the Association
    • The Treasurer will present the accounts of the Association for the previous year
    • Residents interested in joining the core group may present a short application statement to the AGM or a written application (email) to the Chairman at any time
    • Any proposals submitted to the Secretary in writing not less than seven days in advance of the meeting will be discussed

Quorum


  • The quorum for core grou0p meeting will be not less than four members.  The quorum for General Meetings will be a minimum of twelve residents.

General Conduct


  • It is a condition of attending meetings that residents conduct themselves in a reasonable manner. The Chairman may exclude any resident who breaches this condition, or for any other conduct contravening the objectives of the Association. Any resident so excluded has a right of appeal to the following General Meeting.

Amendments to Constitution


  • Any proposal to alter the Constitution must be submitted to the Secretary of the Association not less than 28 days before the General meeting at which it is to be discussed. Not less than 14 days notice will be given of such a meeting, together with the wording of the proposed amendments. Any such amendment will require the approval of two-thirds of those present and voting at the meeting.

Dissolution


  • The core group may call a meeting to discuss the dissolution of the Association.  At least fourteen days notice will be given to residents of such a meeting.  For the sole purpose of dissolution a quorum need not apply, and the Association may be dissolved by a two-thirds majority of those present. The assets, financial and otherwise, remaining when the Association has satisfied its liabilities, will be applied for such purposes of benefit to the community as the meeting so decides.
